PROFESSIONAL EXPERIENCE
Oscar López Velarde has more than 20 years providing tax advice to companies operating in Mexico and Latin America with specific focus in structuring all sort of equity and financing structures for real estate, oil and gas, power and infrastructure projects, as well as advising the banking and finance industry. His practice comprises, among others, the structuring of private equity funds, mergers and acquisitions, structured financing projects, new financial products and capital markets transactions.Oscar also continuously represents taxpayers in their controversies with the tax authorities, including tax audits, mediation, arbitration and litigation procedures.

RELEVANT TRANSACTIONS
- Represented BHP Billiton in the first ever Pemex farm out of block Trion.
- Represented Hines in the negotiation and structuring of a JV with bcIMC for the development of real estate projects.
- Represented Nexxus Capital in the structuring of its public mezzanine debt fund. Represented Credit Suisse Securities (USA), as initial buyer in Vista Oil & Gas’ initial public offering, which was the first ever Mexican Special Purpose Acquisition Company (SPAC) and the first oil and gas company listed in the Mexican Stock Exchange.
- Represented Ivanhoé Cambridge in the negotiation and structuring of a joint venture with Black Creek and CKD Banamex for the development of real estate projects.
- Represented Glencore in the design and incorporation of its Mexican fuels trading structure and its JV with G500.
- Represented CCLA, a partnership between CIM and Compass, in the negotiation and structuring of a joint venture with GIC for the development of a multifamily real estate portfolio.
- Represented HSBC Taiwan, as underwriter in the Federal Electricity Commission’s USD$750 million first ever bond placement in Taiwan Fromosa market.
- Represented Deutsche Bank in certain controversy procedures in connection with the taxation of cross currency swaps.
- Represented Thor Urbana in the acquisition of the Marina Town Center, a 45,000 square meter marina complex, and in the negotiation of a long term holding structure with its partner PSP.
- Represented Grupo Diavaz in the migration of Ebano and Miquetla’s integral exploration and production service contracts (CIEPs).
