PROFESSIONAL EXPERIENCE
Mariana Padilla has experience in real estate transactions, and secured and unsecured loans. She has participated in the assessment and representation of capital investment funds and other investors in the real estate area.

RELEVANT TRANSACTIONS
- Represented FINSA and Walton Street Capital in the sale to Fibra UNO of an industrial portfolio comprised by 74 industrial properties, for USD$841 million, the largest industrial real estate transaction in Latin America in 2019.
- Represented BBVA Securities, Goldman Sachs & Co, HSBC Securities and JP Morgan Securities, as dealers in connection with the issuance of USD$750 million aggregate principal amount of its 5.875% Fixed Reset Subordinated Preferred Tier 2 Capital Notes due 2034 which are part of a USD$10,000 million medium term note program of BBVA Bancomer. We also represented the dealer managers, in BBVA’s offer to purchase its 2021, 6.500% Fixed Rate Subordinated Preferred Notes.
- Represented BNP Paribas, as arranger, and the dealers in the establishment of a USD$10,000 million medium term note program of BBVA Bancomer.
- Represented Banco Santander México, as administrative and structuring agent, and lender along with other financial institutions, in connection with an unsecured credit agreement granted to Coppel for a confidential amount.
- Represented Recurrent Energy Mexico Development, a subsidiary of Canadian Solar International, in obtaining a bridging loan of up to USD$45 million granted by Natixis, New York Branch, for the development, construction and operation of a photovoltaic power plant, as well as the structuring and negotiation of Credit guarantee.
- Represented MREIT, a real estate private equity fund sponsored by Credit Suisse in Mexico, in connection to the granting of a loan secured by real estate assets, for the amount of USD$53,000 million in favor of Grupo Jomer, in order to refinance outstanding real estate loans.
- Represented HSBC México, as lender and collateral agent, and Banco Monex, as administrative agent, in the negotiation and closing of a loan granted to investment vehicles of Finsa, in the amount of up to USD$ 100 million.
- Represented the banks and the administrative and collateral agent HSBC in the negotiation and closing of a credit agreement granted to Finsa, in the amount of up to USD$ 240 million.
- Represented Santander in a MXN$36,000 million unsecured loan agreement.
- Represented HSBC in an USD$350 million secured loan agreement for the purchase of fiduciary stock certificates.
