PROFESSIONAL EXPERIENCE
Gabriel del Valle represents domestic and international financial institutions, sponsors and borrowers in a variety of domestic and cross-border financial transactions, with special emphasis in project finance, structured finance and capital markets.
Within such transactions, Gabriel specializes in structured loans, private and public offerings of debt, equity and structured securities (including capital notes, CKDs, CERPIs and Fibras-E), and establishing private equity funds, as well as in structuring, investing and implementing a variety of infrastructure projects, such as PPPs, toll roads, international bridge crossings, energy and water treatment plants.
Gabriel worked for more than 5 years in Shearman & Sterling in New York.

RELEVANT TRANSACTIONS
- Represented Mexico Infrastructure Partners América Latina in the establishment of a private equity fund, through the issuance of CERPIs, for up to MXN$3,000 million of Serie A Certificates, and up to MXN$7,500 million of optional co-investment Series B Certificates, which is focused on investing in energy and infrastructure projects in Peru, Mexico, Chile y Colombia.
- Represented Ainda, Energía & Infraestructura in the establishment of a private equity fund, through a public offer CKDs, for up to MXN$4,400 million of Series A Certificates and up to MXN$8,500 million of optional coinvestment Series B Certificates, which is focused on investing in energy and infrastructure projects.
- Represented Morgan Stanley and Credit Agricole in the financing to Poinsettia Finance Limited, a vehicle established by KKR, for the acquisition of certain oil and gas infrastructure assets from Pemex Exploración y Producción, which were subsequently leased backed to PEP pursuant to a 15-year lease. The financing included the issuance of senior secured notes, and a senior secured credit agreement.
- Represented BBVA Bancomer, as lender and structuring agent, in a structured financing to a trust set up by Impulsora de Vías SMT y AM, the concessionaire of the Colima – Manzanillo highway, backed by the toll collections pertaining to the Armería - Manzanillo section.
- Represented Morgan Stanley, as arranger, and the lenders in a structured financing to Financiera Fortaleza (Bayport Mexico), secured by pay-roll receivables under a master trust structure.
- Represented EVM Energía in (i) the financing, through the issuance and private placement of senior secured notes and a letter of credit facility, to fund the development of a 99MW combined cycle natural gas-fired power plant, and (ii) the mezzanine financing, through the issuance and private placement of senior secured notes, to complement funding for the development of the aforementioned power plant and a 850MW combined cycle natural gas-fired power plant.
- Represented CDPQ in the creation of an operational platform with ICA focused on participating in the operation and acquisition of highway and toll-road infrastructure assets in Mexico, including the Acapulco Tunnel, the Mayab highway, the Río Verde- Cd. Valles highway and the La Piedad beltway.
